1. Agreement to Terms

By accessing or using GoZappify ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is operated by GoZappify from Jersey, Channel Islands. These Terms constitute a legally binding agreement between you and GoZappify.

2. Description of Service

GoZappify provides an AI-powered invoice processing service designed for electrical contractors. The Service allows users to:

• Upload and process supplier invoices using artificial intelligence
• Calculate markups and profit margins on materials
• Sync processed invoices to accounting software such as QuickBooks Online and Xero
• Generate quotes and customer invoices
• Convert voice recordings from site visits into material lists and quotes

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Subscription and Payments

4.1 Free Trial

New users may be eligible for a free trial period. During the trial, you can access the Service with limited usage. No payment information is required to start a trial.

4.2 Paid Subscriptions

After your trial, you may subscribe to a paid plan. Subscription fees are billed in advance on a monthly or annual basis through PayPal. By subscribing, you authorise us to charge your chosen payment method for recurring fees until you cancel.

4.3 Refunds

We offer a 14-day money-back guarantee on all subscriptions. If you are not satisfied with the Service for any reason, you may request a full refund within 14 days of your purchase. Please see our Refund Policy for full details.

4.4 Invoice Limits and Top-Ups

Each subscription plan includes a monthly or annual allowance of invoice processing. If you exceed your allowance, you may purchase additional top-up credits. Top-up credits do not expire.

4.5 Price Changes

We may change our subscription prices from time to time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• You will retain access to the Service until the end of your current billing period
• Your account will not be charged again after cancellation
• Any unused top-up credits will remain available if you re-subscribe
• You may request a refund within 14 days of your most recent payment as per our Refund Policy

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload content that infringes on intellectual property rights of others
• Attempt to gain unauthorised access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service without our permission
• Resell or redistribute the Service without authorisation
• Upload malicious software or harmful content
• Impersonate any person or entity

7. Your Content

You retain ownership of all invoices and data you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited licence to process, store, and transmit Your Content solely for the purpose of providing the Service to you.

You are responsible for ensuring you have the right to upload Your Content and that it does not violate any third-party rights or applicable laws.

8. Third-Party Integrations

The Service integrates with third-party services such as Intuit QuickBooks Online and Xero. Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the availability, accuracy, or functionality of third-party services. You may disconnect any integration at any time through the Service settings.

9. AI Processing

The Service uses artificial intelligence to process invoices. While we strive for accuracy, AI processing may occasionally produce errors. You are responsible for reviewing and verifying all processed data before syncing to your accounting software or using it for business purposes.

10. Intellectual Property

The Service, including its design, features, and content (excluding Your Content), is owned by GoZappify and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT PROVIDE ACCOUNTING, TAX, OR LEGAL ADVICE. THE SERVICE IS A TOOL TO ASSIST WITH INVOICE PROCESSING. YOU ARE RESPONSIBLE FOR ENSURING COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOZAPPIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless GoZappify, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, non-payment, or conduct that we believe is harmful to other users or the Service.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Jersey, Channel Islands, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Jersey.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and GoZappify regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
